1. The Corporate Tax Architecture of the UAE
The enactment of Federal Decree-Law No. 47 of 2022 on the Taxation of Corporations and Businesses marked a historic milestone in the fiscal modernization of the United Arab Emirates. Effective for financial years beginning on or after June 1, 2023, the regime introduced a headline statutory corporate tax rate of nine percent (9%).
To foster economic diversification, stimulate startup incubation, and shield small-and-medium enterprises (SMEs) from administrative compliance burdens, the Ministry of Finance issued Ministerial Decision No. 73 of 2023 pursuant to Article 21 of the Corporate Tax Law. This administrative regulation established the Small Business Relief (SBR) program, providing complete statutory tax relief for qualifying resident businesses.
2. The Dual-Tier Rate Structure and the 375,000 AED Zero Bracket
Even before examining Small Business Relief, the foundational structure of Article 3 of Federal Decree-Law No. 47 of 2022 provides substantial baseline protection for all commercial enterprises:
- Taxable Net Profits up to 375,000 AED: Subject to a zero percent (0%) tax rate.
- Taxable Net Profits Exceeding 375,000 AED: Subject to a nine percent (9%) tax rate applied exclusively to the incremental profit portion above 375,000 AED.
If Taxable Net Profit > 375,000 AED: Tax Liability = (Taxable Net Profit - 375,000 AED) × 9%
3. Small Business Relief: The 3,000,000 AED Revenue Ceiling
While the standard 0% tier shields profits up to 375,000 AED, Ministerial Decision No. 73 of 2023 provides an even broader exemption. Under SBR, an eligible resident taxable person can elect to be treated as having no taxable income during a tax period, resulting in zero corporate tax liability regardless of their actual net profit margin.
The core qualifying criteria for electing SBR are strictly defined:
- Gross Revenue Ceiling: The business's gross revenue (turnover) in the relevant tax period and all prior tax periods ending on or before December 31, 2026 must not exceed 3,000,000 AED.
- Resident Taxable Person: The election is open to resident juridical persons (such as mainland LLCs and free zone companies) and resident natural persons conducting commercial business activities.
- Applicability Period: SBR applies to tax periods starting on or after June 1, 2023, and remains in effect for periods ending on or before December 31, 2026.
| Annual Gross Turnover | Net Taxable Profit | Standard Corporate Tax (No SBR) | Corporate Tax Under SBR Election | Net Cash Savings |
|---|---|---|---|---|
| 1,800,000 AED | 500,000 AED | 11,250.00 AED | 0.00 AED | 11,250.00 AED |
| 2,400,000 AED | 800,000 AED | 38,250.00 AED | 0.00 AED | 38,250.00 AED |
| 2,950,000 AED | 1,200,000 AED | 74,250.00 AED | 0.00 AED | 74,250.00 AED |
| 3,500,000 AED (Ineligible) | 600,000 AED | 20,250.00 AED | 20,250.00 AED (SBR N/A) | 0.00 AED |
4. Disqualification Criteria and Excluded Entities
Certain corporate categories are explicitly barred from claiming Small Business Relief, regardless of whether their turnover falls below 3,000,000 AED:
- Qualifying Free Zone Persons (QFZP): Entities established in UAE Free Zones that elect or qualify for the special 0% regime on qualifying income cannot simultaneously claim SBR.
- Multinational Enterprise (MNE) Groups: Entities belonging to an MNE group with consolidated group revenue exceeding 3.15 billion AED (subject to country-by-country reporting under OECD Pillar Two) are disqualified.
- Artificial Business Fragmentation: The Federal Tax Authority (FTA) enforces strict General Anti-Abuse Rules (GAAR) under Article 50. If an enterprise artificially splits its operations across multiple legal licenses to keep revenue below 3,000,000 AED per entity, the FTA will disallow the relief and impose substantial fiscal penalties.
5. Administrative Compliance Requirements
A common misconception among entrepreneurs is that qualifying for Small Business Relief exempts a company from registering with the Federal Tax Authority. This is incorrect.
Every taxable person in the UAE must obtain a Corporate Tax Registration Number (TRN). Businesses electing SBR must submit an annual corporate tax return to the FTA and make an explicit election for Small Business Relief on the return form. Additionally, companies must maintain proper financial records and supporting accounting documentation for at least seven (7) years following the end of the tax period.
